These Terms and Conditions of Service apply to all products and services supplied by CGL Retail Solutions Limited. All work carried out by CGL Retail Solutions Limited., is undertaken on the understanding that the client agrees to these terms and conditions.
Supply, by the Client, of any image, text, illustration, photograph or drawing should have the necessary copyright clearances. Obtaining these is entirely the responsibility of the client and CGL Retail Solutions Limited. cannot accept responsibility for any breaches of copyright in materials supplied by a client or their agents. By supplying images, text, or any other data, the customer grants CGL Retail Solutions Ltd. Permission to use this material freely in the pursuit of the design.
The client agrees to fully indemnity and hold CGL Retail Solutions Limited. free from harm in any and all claims resulting from the client not having obtained all the required copyright and/or any other necessary permission.
Quotations and Estimates
Initial estimates and quotations are given on the basis of information supplied by the client. CGL Retail Solutions Limited., retains the right to amend any quotation in the event of the specifications for a specific job being changed or in the light of subsequent review of the project.
A job will only be accepted on receipt of written confirmation from the client. Alternatively, the client may send an official order in reply to the estimate or quotation. Any order placed by the client is taken as acceptance of these terms and Conditions.
All quotations are valid for 28 days from the date of quotation.
Charges and Payments
Signs, Sign Making and Printing
If the customer does not have an approved up to date credit account with CGL Retail Solutions Limited. We need a 50% down payment before production commences. Payment of the 50% balance including vat will be due on collection or dispatch of the order.
If the customer has an approved up to date credit account with CGL Retail Solutions Limited., we have credit terms of 30 day date of invoice. Depending on the value of the order CGL Retail Solutions Limited may still require staged deposits as detailed below
Payment of 50% (fifty per cent) of full contract value (incl. Vat) with signed purchase order
Payment of 40% (forty per cent) of full contract value (incl. Vat) upon delivery to site for fit out purposes.
The buyer is permitted to withhold a retention of 10% (ten per cent) until all reasonable snagging has been completed.
Shop Units and Fittings
Following credit approval the following payment terms apply unless otherwise agreed by CGL Retail Solutions Limited.
Payment of 50% (fifty per cent) of full contract value (incl. Vat) with signed purchase order.
Payment of 40% (forty per cent) of contract balance (incl. Vat) including agreed extras if applicable upon completion of installation.
The buyer is permitted to withhold retention of 10% (ten per cent) until all reasonable snagging has been completed.
Each part of delivery or installation of the goods will be deemed to be sold under a separate contract and will be paid for as such (e.g. different locations for installation of units)
Deliveries / Installation
CGL Retail Solutions Limited. will be entitled to payment in full on the order dates for goods manufactured to customers’ order, where delivery and installation are expressly delayed on the customers’ instructions necessary or where an order is cancelled in part or in total.
Alterations and Amendments
Any additional work over and above the original estimate carried out by CGL Retail Solutions Limited. or its agents is charged at the current standard hourly rate of either CGL Retail Solutions Limited. or its agents unless otherwise specified and agreed with the client. Charges required to be carried out after acceptance of the draft design will be liable to a separate charge at the current hourly rate. The Customer will issue a separate order for all additional agreed costs.
The Company with be entitled without prejudice to its other rights and remedies to terminate wholly or partially any supply contract between itself and the customer or to suspend any further deliveries under any or every contract if ;
Any debt is overdue and unpaid by the Customer to the Company or;
The Customer has failed to provide any letter of credit or other securities agreed in the contract or;
The Customer have rejected, returned or failed to take delivery of any goods tendered by the Company, otherwise than in accordance with the Customers contractual or legal rights.
The Customer being a body corporate become insolvent , or pass a resolution or suffer an order of the Court to be made for their winding up, or have had a receiver appointed (or carry out or undergo any analogous act or preceding under foreign law) being an individual partnership become insolvent or suspend payment in whole or in part or propose or enter into any composition or arrangement with his or their creditors or have had a receiving order in bankruptcy made against him or them, or carry out or undergo any analogous act proceeding under foreign law.
The Company shall be entitled to exercise its aforesaid right of termination or suspension at any time during which the event or default giving rise thereto has not ceased or been remedied.
The Customer shall not be entitled to withhold payment of any amount payable under the contract to the Company because of any disputed claim of the Customer nor shall the Customer be entitled to set off against any amount payable under the contract by the Company or any monies which are not presently payable by the Company or for which the Company disputed liability.
a) The property in the goods shall not pass to the customer and the customer shall keep the goods as bail and trustee for the Company (returning the same to Company upon request) until the price if the goods shall have been wholly paid and until any other sums whatsoever which are due from the Customer to the Company whether under this contract or howsoever otherwise shall have been paid in full without any reduction or deferment on account of any dispute or cross-claim whatsoever
b) (i) manufactures another article or articles from the goods with or without the addition of another materials and / or
(ii) Mixes the goods in any way whatsoever with other materials and /or
(iii) incorporates the goods into any other article as a component part, the property in the products of such manufacture, mixing or incorporation (herein referred to as the “Products) shall be transferred to the Company at the time of property in the products of such manufacture, mixing or incorporation. The Customer shall keep the products as bailee and trustee for the Company until the Customer has paid to the Company any sums due to the Company whether under this contract or howsoever otherwise in full and without any reduction deferment on account of any dispute.
c) Notwithstanding sub clause (1) and (2) hereof the Customer shall be entitled to sell the goods or products to third parties in the normal course of his business and to deliver them to such third parties but the proceeds of any such sale shall whenever be held on trust for the company.
Every care is taken to ensure the accuracy of work undertaken but CGL Retail Solutions Limited., cannot accept any responsibility for errors or inaccuracies in any text or image supplied by the Customer or his/her agents. All design work should be signed off by the Customer as accurate prior to delivery either to the Customer, their agents or to a contractor or any other third party commissioned by CGL Retail Solutions Limited. on behalf of the Customer.
Proofs of all work will be submitted for the Customers approval and CGL Retail Solutions Limited. shall not be liable for errors not corrected by the Customer in such proofs. The Customer’s alterations and additional proofs, films, printing plates or other mechanical services or products necessitated thereby shall be charged as additional costs. Proofs cannot be regarded as accurate from the point of view of colour reproduction. No responsibility will be accepted for any errors in proofs approved by the Customer.
Text is to be supplied to CGL Retail Solutions Limited., in appropriate digital form as specified by CGL Retail Solutions Limited. or its agents. Images must be of a quality suitable for use without any subsequent image processing and CGL Retail Solutions Limited. will not be held responsible for any image quality which the Customer later deems to be acceptable. CGL Retail Solutions Limited., cannot be held responsible for the quality of any images which the Customer wishes to be scanned. Additional charges may be levied for any necessary action, including, but not limited to photography and art direction, photography searches, media conversion, digital image processing, or data entry services.
All original design work, where there is a risk that another party may claim, should be registered by the Customer with the appropriate authorities prior to publishing or first use or searches and legal advice sought as to its use. CGL Retail Solutions Limited will not be held responsible for any and all damages resulting from such claims.
Design Project Scope and Duration
Any indication given by CGL Retail Solutions Limited. of a design project’s duration is to be considered by the Customer to be an estimation. CGL Retail Solutions Limited cannot be held responsible for any project over-runs without prior agreement. Estimated project duration should be deemed to be from the date that cleared funds are received by CGL Retail Solutions Limited. for the initial payment or by a date confirmed in writing by CGL Retail Solutions Limited. at the start of a project. A design project shall be considered complete upon Customer sign off. Other services such as printing, display panel production, website uploading, publishing etc. contracted on the Customers behalf shall constitute a separate project and can be treated as a separate charge unless specified in the original quotation or estimate.
The client agrees to allow CGL Retail Solutions Limited. to place designs, along with a link to the Customer’s website on CGL Retail Solutions Limited. own website on the Customer website. This will usually be in the form of a small logo or line of text placed towards the bottom of the page.
The Customer also agrees to allow CGL Retail Solutions Limited. to place designs, along with a link to the Customer’s website on CGL Retail Solutions Limited. own website for demonstration purposes and to use any designs in its own publicity or promotional material in any media.
Rights of Refusal
CGL Retail Solutions Limited. will not include in its designs, any text, images or other data which it deems to be immoral, offensive or illegal. All advertising material must conform to all standards laid down by all relevant advertising standards authorities. It is the responsibility of the Customer to obtain any necessary approvals. CGL Retail Solutions Limited. also reserves the right to refuse to include submitted material without giving reason.
CGL Retail Solutions Limited will not be held responsible for any and all damages resulting from products and/or services it supplies. Any claim against CGL Retail Solutions Limited. shall be limited to the relevant fee paid by the Customer.
CGL Retail Solutions Limited. reserves the right to use the services of sub-contractors, agents and supplies and any work, content, services and usage is bound by CGL Retail Solutions Limited. Terms and Conditions. CGL Retail Solutions Limited., will not knowingly perform any actions to contravene these and the client also agrees to be so bound.
All design concepts are the copyright of CGL Retail Solutions limited and cannot be reproduced or given to a third party without permission in writing from CGL Retail Solutions limited. They will remain the property of CGL Retail Solutions Limited until paid for in full.

These Terms and Conditions supersede any previous Terms and Conditions distributed in any form by CGL Retail Solutions Limited.
